Clloze Terms of Service
Effective date: 24th July 2026
1. Introduction
These Terms and Conditions ("Terms") govern access to and use of Clloze (the "Platform"), an AI powered checkout optimization and recovery tool for creators and digital sellers, operated by [Clloze Company Name] ("Clloze," "we," "us," "our"). By creating an account or using the Platform in any way, you ("you," "user") agree to be bound by these Terms. If you do not agree, do not use the Platform.
These Terms apply to both Sellers (creators who use Clloze to sell products) and Buyers (customers who purchase through a Seller's checkout page).
2. Eligibility
You must be at least 18 years old to create a Seller account or make a purchase as a Buyer. Clloze does not currently verify age at signup or checkout. By using the Platform, you confirm you meet this requirement.
3. Account Registration
To create a Seller account, you must provide a name, email address, and password. Email ownership must be verified before the account can be used. You are responsible for keeping your login credentials confidential and for all activity on your account. Notify us immediately if you suspect unauthorized access.
We reserve the right to suspend or terminate any account at our discretion, including for suspected fraud, violation of these Terms, or misuse of the Platform.
4. Payments and Payouts
Clloze uses Paystack as its payment processor. When a Buyer pays, funds are split automatically by Paystack: a platform fee (currently 5.5% plus a flat fee per transaction) goes to Clloze's Paystack account, and the remainder goes directly to the Seller's own Paystack sub-account, tied to the Seller's bank account. Clloze never receives, holds, or has custody of Buyer funds at any point.
Settlement timing to a Seller's bank account is determined entirely by Paystack and is not guaranteed or controlled by Clloze.
Sellers must complete bank account setup before they can accept payments. If setup is incomplete, checkout will be disabled on that Seller's page.
Payout accuracy depends on Paystack's own verification that the Seller's registered payout name matches the legal name on their bank account. Clloze is not responsible for payout delays or blocks caused by this mismatch.
5. Fees
Clloze charges a platform fee of 5.5% plus 50 naira on each successful transaction, deducted automatically at the point of payment. This is separate from any fee Paystack itself charges for processing. Fees may change from time to time, with notice provided on the Platform.
6. Refunds
Clloze does not process, approve, or guarantee refunds. Refund and cancellation policies are set entirely by individual Sellers. Any refund must be arranged directly between the Buyer and the Seller, outside the Platform. Clloze is not liable for any dispute, loss, or claim arising from a refund request.
7. Disputes Between Buyers and Sellers
Clloze has no dispute resolution process and does not mediate disagreements between Buyers and Sellers, or between Sellers and their affiliates. All transactions occur directly between Buyer and Seller, with Clloze acting only as a technical platform. Clloze is not liable for any loss, damage, or claim arising from such disputes.
8. Affiliate Program
Sellers may set up an affiliate arrangement for their own products, including a commission rate. Clloze tracks and calculates commission owed based on sales made through an affiliate's tracked link, but does not pay affiliates directly and has no mechanism to do so. Payment to affiliates is the Seller's sole responsibility, arranged and completed entirely outside the Platform. Clloze cannot confirm or guarantee that a Seller has actually paid an affiliate.
9. AI Features
Clloze offers AI assisted tools, including drafting WhatsApp messages, product descriptions, and performance summaries. All AI generated content requires Seller review and action before it is sent, published, or used. AI does not autonomously send messages, publish content, or take any action affecting a user's account or funds.
10. Content and Listings
Sellers are solely responsible for the products, descriptions, images, and content they list on the Platform. Clloze does not review or moderate content before it becomes visible to Buyers. You must not list content that is illegal, infringes on the rights of others, or violates these Terms.
Prohibited Products and Activities
You may not use Clloze to sell or promote:
- Illegal goods or services
- Counterfeit or infringing products
- Adult content or services
- Weapons, firearms, or explosives
- Illicit substances or drugs
- Gambling, betting, or forecasting services
- Pyramid or Ponzi schemes
- Multi-level marketing offering recruitment based commission
- Unauthorized financial, credit, or lending services
- Any product or service that violates applicable law
Clloze reserves the right to remove any listing or suspend any account found in violation of this section, at its sole discretion, without prior notice.
11. Available Product Types
Clloze currently supports digital downloads and coaching or session based offers. Additional product types shown as "Coming Soon" are not yet available for creation and should not be relied upon as functional.
12. Platform Limitations
You acknowledge and accept that, as of this version of the Terms:
- Clloze does not currently offer an in-product way to permanently delete account data. Closing an account deactivates it; underlying data may be retained.
- Clloze does not currently offer an admin dispute or fraud review tool. Any manual intervention is handled outside the standard product.
- Clloze does not verify identity beyond email ownership and payout bank name matching.
Clloze may introduce, remove, or change features at any time without obligation to maintain any specific feature indefinitely.
13. Intellectual Property
Sellers retain ownership of the content and products they upload. By using the Platform, Sellers grant Clloze a limited, non-exclusive license to host, display, and process that content solely to operate and provide the Platform's services. This license does not grant Clloze ownership of Seller content.
The Clloze name, logo, software, and platform design are the property of Clloze and may not be copied, reproduced, or used without written permission.
14. Third Party Services
Clloze relies on third party providers to operate, including Paystack for payments, Resend for email delivery, Cloudflare for file storage, Sentry for error monitoring, and Groq for AI features. Use of the Platform means you accept that data necessary to provide these services may be shared with these providers. Clloze is not responsible for the acts or omissions of third party providers.
15. Account Suspension and Termination
Clloze may suspend or terminate any account, at its sole discretion and without prior notice, for violation of these Terms, suspected fraud, or any activity that may harm the Platform, other users, or third parties. Sellers may close their own account at any time through account settings. Closing an account stops future payouts and reserves the Seller's page name, but does not erase underlying account data.
16. Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis. Clloze makes no warranty, express or implied, regarding the reliability, availability, accuracy, or fitness of the Platform for any particular purpose. Clloze does not guarantee uninterrupted or error free operation.
17. Limitation of Liability
To the fullest extent permitted by law, Clloze shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit or revenue, arising from use of the Platform. Clloze is not responsible for the actions, omissions, products, or conduct of any Seller, Buyer, or affiliate.
18. Indemnification
You agree to indemnify and hold Clloze, its officers, employees, and agents harmless from any claim, liability, loss, or expense, including legal fees, arising from your use of the Platform or violation of these Terms.
19. Changes to These Terms
Clloze may update these Terms at any time. Material changes will be communicated through the Platform. Continued use after changes take effect constitutes acceptance of the revised Terms.
20. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
